Notice is given that an Annual General Meeting of the Members of Diabetes WA Ltd (Diabetes WA) will be held at Level 3, 322 Hay Street, Subiaco WA, 6008, on

Financial Statements & Director’s Reports

To receive and consider the financial report, the directors’ report and the auditors’ report for the financial year ended 30 June 2025.

4. Special Resolution

To consider and if thought fit, pass the following special resolutions as a special resolution:

“That the document submitted to the meeting is adopted as the constitution of Diabetes WA in substitution for the present constitution of Diabetes WA (which is repealed).”

In accordance with section 250MA of the Corporations Act 2001 (Cth) and clause 70 of the Diabetes WA constitution, a special resolution requires the approval of not less than 75% of Members present (whether in person or by proxy) and entitled to vote on the resolution.

A copy of the new constitution of Diabetes WA is available here.

The explanatory notes annexed to this Notice contain a summary of the material

amendments incorporated into the new constitution.

5. Re-election of Directors

To consider and if thought fit, pass the following ordinary resolutions as separate ordinary resolutions:

1. to re-elect Mary Anne Stephens as a director of Diabetes WA
2. to re-elect Barbara King as a director of Diabetes WA
3. to re-elect Catherine Resnick as a director of Diabetes WA
4. to re-elect Fiona Lander as a director of Diabetes WA
